Nature of the Platform

Chucktown Startups is a community platform designed to facilitate networking, visibility, education, and ecosystem development among startup founders, investors, service providers, and related organizations.

Chucktown Startups does not function as a broker dealer, funding portal, placement agent, investment adviser, or securities intermediary under federal or state securities laws.

No Securities Solicitation

Nothing on the Chucktown Startups website, directory, newsletter, events, communications, or affiliated platforms constitutes:

• An offer to sell securities
• A solicitation of an offer to buy securities
• Investment advice or recommendations
• A general solicitation for investment opportunities

Any references to capital raises, funding rounds, investment opportunities, or company profiles are provided solely for informational and community visibility purposes.

No Broker Activity or Transaction Based Compensation

Chucktown Startups does not:

• Introduce investors to companies in exchange for compensation tied to investment outcomes
• Receive commissions, success fees, referral fees, or transaction based compensation related to securities transactions
• Negotiate, structure, or participate in securities offerings
• Accept compensation contingent upon the closing of any financing

No compensation received by Chucktown Startups is dependent upon the successful completion of any equity, debt, SAFE, convertible note, revenue share, or other financial transaction.

No Success Fees

Chucktown Startups does not charge or receive success fees, placement fees, percentage of capital raised, equity interests as compensation for introductions, or other performance based remuneration related to capital raising activities unless explicitly disclosed in a separate written agreement outside the platform.

Any services provided by affiliated businesses are independent of the Chucktown Startups community platform and are governed by separate agreements.

Independent Transactions

Any equity investment, advisory relationship, consulting engagement, or financial arrangement entered into by members of the Chucktown Startups community is strictly a private agreement between the participating parties.

Chucktown Startups:

• Is not a party to such agreements
• Does not endorse or verify participating companies or investors
• Does not conduct due diligence on behalf of participants
• Assumes no fiduciary duty to any party with respect to investment decisions

All participants are solely responsible for conducting independent due diligence and obtaining appropriate legal, tax, and financial advice.

No Endorsement or Verification

Profiles, listings, announcements, and event participation do not constitute endorsement, certification, or validation by Chucktown Startups. Information is self submitted by members and may not be independently verified.

Limitation of Liability

By participating in Chucktown Startups, users acknowledge that:

• The platform serves solely as a networking and informational resource
• Any investment or equity decision is undertaken at the participant’s own risk
• Chucktown Startups shall not be liable for any financial loss, dispute, misrepresentation, regulatory issue, or contractual disagreement arising from relationships formed through the platform

Potential Conflicts and Independent Activities

The founder of Chucktown Startups and affiliated entities may independently provide consulting, advisory, or investment services outside of the Chucktown Startups platform. Any such relationships are separate from participation in the community and governed by independent written agreements where applicable.
